Terms of Service

These Terms of Service ("Terms") govern your use of the Discord applications and related web services (the "Services") operated by CoUnity, LLC ("CoUnity", "we", "us").

By using the Services — including by invoking a command, interacting with a message component, or participating in a channel where the Services are active — you agree to these Terms. If you do not agree, do not use the Services.

Our Privacy Policy forms part of these Terms and explains how we handle your information.


1. Eligibility

To use the Services you must:

If you use the Services on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.


2. The Services

We provide Discord bots and supporting web services offering functionality that may include community moderation, participation and engagement tracking, application and onboarding workflows, role assignment, blockchain wallet verification, cross-platform message bridging, conversational assistant features, information commands, and reporting for server administrators.

Which of these are active in any given Discord server is decided by that server's administrators, not by you and not by us. Features may be added, changed, restricted or removed at any time.


3. Responsibilities of server administrators

If you add our Services to a Discord server, or configure them, you additionally agree that:

We may investigate suspected violations and may restrict, suspend or terminate your access, remove content, revoke roles, or report conduct to Discord or to the authorities.


5. Blockchain wallet features

Where a wallet-linking feature is available and you choose to use it:

5.1 We never ask for your keys

We will never ask you for a private key, seed phrase, recovery phrase or wallet password. No CoUnity service, staff member or bot will ever request these. Anyone who does — including anyone claiming to represent us — is attempting to defraud you. Report it to your server's moderators immediately.

Verification works only by reading public information or by asking you to make a transaction you control yourself.

5.2 No custody, no control

We do not take custody of, hold, manage or have any ability to move, spend or freeze your assets. We only read public blockchain data.

5.3 You are responsible for your wallet

You are solely responsible for the security of your wallet, your keys and your devices, and for any transaction you make. Where a verification method asks you to send a transaction, you initiate it and you pay any network fee. Fees are not refundable by us. Sending funds to the wrong address is irreversible and is not something we can undo.

5.4 One wallet, one account

A wallet may generally be linked to only one Discord account at a time within a server. Attempting to link a wallet you do not control, or sharing a wallet across accounts to gain roles or rewards, is a violation of Section 4.

5.5 Roles, points and eligibility are not entitlements

Roles, points, tiers, ranks, badges, allowlist positions and similar status granted through the Services:

Where a third party runs a program using our Services, that program's own rules and rewards are that party's responsibility, not ours.

5.6 Not financial advice

Nothing provided through the Services — including market data, statistics, token information, charts or feeds — is financial, investment, legal or tax advice, or a recommendation to buy or sell anything. Information may be delayed, incomplete or wrong. Blockchain assets are volatile and risky. Do your own research and consult a qualified professional. Any decision you make is yours alone.


6. Content

6.1 Your content

You keep ownership of what you submit. By submitting it, you grant us a non-exclusive, worldwide, royalty-free licence to store, reproduce, process, display and transmit it as needed to operate the Services — including displaying it in your server, mirroring it to a linked platform where that feature is enabled, and including it in reports to your server's administrators.

You confirm you have the rights to submit what you submit, and that it does not infringe anyone else's rights.

6.2 Content from others

Content posted by other users is theirs, not ours. We do not endorse it and are not responsible for it. We have no obligation to monitor content, but we may remove anything at our discretion.

6.3 Our content

The Services, including their software, design and documentation, belong to CoUnity and its licensors and are protected by intellectual property law. These Terms grant you no rights in them beyond permission to use the Services as intended.


7. Third-party services

The Services depend on third parties, including Discord, our cloud hosting provider, blockchain data providers, workflow platforms, messaging platforms and AI providers. Your use of Discord is governed by Discord's own terms.

We are not responsible for third-party services, their availability, their accuracy, or their acts and omissions. An outage or change at a third party may degrade or interrupt the Services. Where a third party processes information for us, we describe this in our Privacy Policy.


8. Availability and changes

The Services are provided on an "as available" basis. We do not promise uptime, and we may modify, suspend, limit or discontinue any part of the Services — or the whole of them — at any time, with or without notice.

We may impose reasonable usage limits to protect the Services and their users.


9. Your data, opting out, and deletion

How we handle your information is set out in our Privacy Policy. In summary, and as a term of this agreement:

You may opt out of data collection, and you may request deletion of the data we hold about you, at any time by emailing:

Please put "Opt-Out Request" or "Data Deletion Request" in the subject line and include your Discord user ID. We will verify that the request comes from the holder of that Discord account, then acknowledge it promptly and complete it within 30 days, or tell you why we need longer.

10. Suspension and termination

You may stop using the Services at any time. A server administrator may remove them from a server at any time.

We may suspend or terminate your access, or withdraw the Services from a server, at any time — including for a breach of these Terms, conduct that risks harm to others or to the Services, a requirement of law, or because we are discontinuing a feature.

On termination, Sections 6.1, 6.3, 9, 11, 12, 13, 14 and 15 survive.


11. Disclaimer of warranties

The Services are provided "as is" and "as available", without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, timely, secure or error-free, that any information provided will be accurate or complete, that defects will be corrected, or that the Services are free of harmful components.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.


12. Limitation of liability

To the fullest extent permitted by law, CoUnity, LLC and its officers, employees, contractors and agents will not be liable for:

Our total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the total amount you paid us for the Services in the twelve months before the claim, or (b) one hundred US dollars (US$100.00).

The Services are provided free of charge unless separately agreed in writing, and these limits reflect that.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or your rights as a consumer under mandatory local law.


13. Indemnification

13.1 All users

You agree to indemnify and hold harmless CoUnity, LLC and its officers, employees, contractors and agents from any third-party claim, demand, loss, liability or expense (including reasonable legal fees) arising from (a) content you submit through the Services, (b) your breach of these Terms, or (c) your violation of any law or of any third-party right. This section applies only to claims arising from your own acts or omissions, and does not apply to any claim arising from CoUnity's own negligence, breach or unlawful conduct.

13.2 Administrators and organisations

If you add the Services to a Discord server, configure them, or use them on behalf of an organisation, you additionally agree to indemnify and hold harmless the parties named in 13.1 from any claim, demand, loss, liability or expense (including reasonable legal fees) arising from your configuration of the Services, your enablement of features in your community, your handling or disclosure of your members' information, your failure to meet your obligations under Section 3, or the conduct of any moderator or administrator to whom you grant access. This section is subject to the order-of-precedence provision in Section 15.

13.3 Consumers

Nothing in this Section 13 applies to the extent prohibited by mandatory consumer-protection law in your country of residence.

13.4 Process

We will notify you promptly of any claim we seek indemnification for, give you reasonable control of the defence (except that we may participate with our own counsel at our expense), and not settle without your consent, which you will not unreasonably withhold.


14. Governing law and disputes

These Terms are governed by the laws of the State of Mississippi, United States, without regard to its conflict-of-laws rules.

You and CoUnity agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Mississippi, United States, and you consent to the personal jurisdiction of those courts.

If you are a consumer resident in the European Economic Area or the United Kingdom, nothing in this section deprives you of the protection of the mandatory consumer-protection law of your country of residence, or of your right to bring proceedings in your local courts where that law gives you that right.

Before filing a claim, please contact us at privacy@counity.xyz. Most issues can be resolved informally, and we would rather resolve yours that way.


15. General

Entire agreement and order of precedence. Where CoUnity has a separate written agreement with an organisation covering the Services, that agreement governs as between CoUnity and that organisation, and prevails over these Terms to the extent of any conflict. Individuals administering the Services on behalf of such an organisation do so under that agreement, and Section 13.2 does not apply to them in their personal capacity. Except as set out in such an agreement, these Terms and the Privacy Policy are the entire agreement between you and CoUnity regarding the Services, and supersede any prior understanding.

Severability. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is modified to the minimum extent needed to make it enforceable.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.

No agency. Nothing here creates a partnership, joint venture, employment or agency relationship.

Changes. We may update these Terms. We will update the "Last updated" date and, for material changes, give notice through the servers where the Services operate or by another reasonable means. Continued use after a change means you accept the updated Terms. If you do not accept them, stop using the Services.

Relationship to Discord. The Services are not affiliated with, endorsed by, or sponsored by Discord Inc. Discord is a trademark of Discord Inc.
